Terms of service
Last updated 31 October 2026
These terms apply to services and software provided by Atokoni Consulting, LLC ("Atokoni", "we"), an Illinois limited liability company based in Chicago, to the business that engages us ("you"). A signed proposal, Build Agreement or Ducks license adds to these terms and takes priority where the two differ.
1. What we provide
We provide a Discovery Audit, fixed-price operations builds, support on systems we have built, and Ducks, a document-collection software product licensed per operator. What is included in each is described on our website and in the agreement you sign.
2. Fees and payment
Prices are in US dollars. Invoices are issued through Stripe and can be paid by card or ACH bank transfer. The Discovery Audit is $1,000, invoiced in two halves: before the first call and on delivery of the Discovery Document. Builds are paid in three instalments at kickoff, midpoint check and handover. Ducks is billed monthly or annually in advance. Invoices are due on receipt unless the invoice says otherwise.
3. Refunds and cancellation
Our refund and cancellation terms are published at atokoni.com/#refunds and form part of these terms.
4. Your responsibilities
You will give us timely access to the people, systems and information the work needs, and you confirm you have the right to share any client data you give us. Decisions about your business, your clients and your compliance obligations remain yours.
5. Ownership
On payment, you own the configuration, content and data of any system we build for you, and you may keep using it if our relationship ends. We keep ownership of our methods, templates and reusable components, and of Ducks, which is licensed to you rather than sold. Your data in Ducks is yours; we can export it for you on request.
6. AI and review features
Some of what we build uses AI to take on repetitive steps. Where Ducks or a build flags a possible discrepancy in a document, that is a prompt for a person to check, not a verification. You and your team remain responsible for every decision, approval and submission.
7. Confidentiality
Each side keeps the other's non-public information confidential and uses it only for the engagement. We may describe the work in general terms as a reference once it is complete, and will not name you or share figures without your written agreement.
8. Warranties and liability
We will do the work with reasonable skill and care. We do not guarantee any particular business result. To the extent the law allows, our total liability under an engagement is limited to the fees you paid for that engagement in the twelve months before the claim, and neither side is liable for indirect or consequential loss.
9. Governing law
These terms are governed by the laws of the State of Illinois. Any dispute will be heard in the state or federal courts located in Cook County, Illinois.
